By accessing or using the Service, you ("Customer", "User", "you") agree to be bound by these Terms. If you disagree with any part of the terms, you do not have permission to access the Service.
Description of Service
Redpoint is a Software-as-a-Service (SaaS) platform designed to support medical device requirements development, management, tracking, and tracing. The Service serves as a digital documentation and organization tool to assist teams with design controls.
Industry-Specific Disclaimer & No Regulatory Liability
No Regulatory, Engineering, or AI Advice: Redpoint Labs LLC provides software tools only. We do not provide engineering, medical, legal, or regulatory advice. Use of the Service does not guarantee compliance with any regulatory standard, including but not limited to FDA regulations (e.g., 21 CFR Part 820 or the Quality Management System Regulation), ISO standards (e.g., ISO 13485, ISO 14971), or CE marking requirements.
Nature of AI-Generated Content: The Service may include features driven by artificial intelligence, machine learning, or automated algorithms to assist with requirements generation, drafting, analysis, or mapping (collectively, "AI Outputs"). You explicitly acknowledge and agree that all AI Outputs are provided strictly for your consideration and informational evaluation only. AI Outputs do not constitute professional advice, engineering recommendations, or validated regulatory declarations of any kind.
- Mandatory Independent Verification: Automated tools and generative models are prone to errors, omissions, inaccuracies, and misinterpretations. You are solely and exclusively responsible for reviewing, auditing, and independently verifying the accuracy, safety, and regulatory compliance of all text or tracing data suggested by the Service. No AI-generated element should ever bypass formal, qualified human review by your organization's engineering and quality assurance teams.
Customer Responsibility for Data and Validation
- Full Responsibility for Data Validity: You own and retain all rights to the requirements, specifications, tests, or other content you upload or generate within the Service ("Customer Data"). You are solely and completely responsible for the accuracy, validity, completeness, and appropriateness of all Customer Data.
Control and Approvals: You acknowledge that Redpoint Labs LLC does not review, edit, audit, or approve any requirements or traceability matrices generated by the platform. You are fully responsible for the formal review, verification, validation, and authorization of your product requirements before using them in any medical device design, manufacturing, or regulatory submission.
No Substitution for Human Review: You agree that you will not rely solely on the automated outputs, exports, or trace matrices of the Service to make critical safety or design decisions. Human engineering and quality assurance review are mandatory.
Account Registration and Security
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are entirely responsible for maintaining the confidentiality of your account credentials (including passwords) and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
Fees and Payment
- Subscriptions: Access to the Service is billed on a subscription basis (monthly or annually) at the rates listed at checkout. Subscriptions renew automatically until cancelled.
- Refunds: Refunds are governed by our Refund Policy and by Paddle's Buyer Refund Policy. To request a refund, visit paddle.net or contact us.
- Changes: We reserve the right to modify our subscription fees upon 30 days' notice. Continued use of the Service after the price change constitutes agreement to the new amount.
Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns, refunds, chargebacks, billing, and tax compliance. Payment, billing, and refund mechanics are governed by Paddle's Buyer Terms.
Acceptable Use and Restrictions
You agree not to misappropriate or misuse the platform. Specifically, you will not:
- Reverse engineer, decompile, or copy the architectural framework of the Service.
- Use the Service to store or transmit malicious code, viruses, or harmful data.
- Attempt to gain unauthorized access to our servers, infrastructure, or connected databases.
- Circumvent or attempt to bypass any feature gating or subscription tier boundaries.
Intellectual Property
The Service and its original content, features, and functionality (excluding Customer Data) remain the exclusive property of Redpoint Labs LLC. Our trademarks, logos, and layouts may not be used in connection with any product or service without our prior written consent.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Redpoint Labs LLC, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation:
- Loss of profits, data, use, goodwill, or other intangible losses.
- Any claims, failures, delays, or enforcement actions brought against you by regulatory bodies (e.g., FDA).
- Any bodily injury, product recalls, or patient harm resulting from design flaws or unverified requirements in medical devices managed or traced through the Service.
Our total aggregate liability for all claims arising out of or relating to the use of the Service shall not exceed the total amount paid by you to Redpoint Labs LLC for the Service during the twelve (12) months preceding the event giving rise to liability.
Indemnification
You agree to defend, indemnify, and hold harmless Redpoint Labs LLC and its licensees, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) resulting from or arising out of:
- Your use and access of the Service;
- A breach of these Terms; or
- Any product liability or regulatory non-compliance claims related to a medical device developed using inputs, trace matrices, or requirements managed on the Service.
Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease.
Binding Arbitration and Class-Action Waiver
- Mandatory Arbitration: You and Redpoint Labs LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") will be resolved solely by binding, individual arbitration, rather than in a court of law. You explicitly acknowledge that you are waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.
Arbitration Rules and Administration: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, except as modified by this Agreement. The arbitrator's decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Location and Fees: Unless you and the Company otherwise agree, the arbitration will take place in the state or region where Redpoint Labs LLC maintains its principal place of business. Each party will be responsible for their own administrative and arbitrator fees, as set forth in the AAA rules, unless the arbitrator determines the claims are frivolous.
Class Action Waiver: YOU AND REDPOINT LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
